Terms of Service

These Terms govern your access to and use of the Epepea marketplace, portals, and related services.

Introduction

Epepea is a B2B2C marketplace connecting retailers, suppliers, shoppers/agents, and delivery partners to streamline commerce and delivery.

By accessing or using the Epepea website, marketplace pages, checkout, ordering flows, and any portals or tools we provide, you agree to these Terms.

If you do not agree, do not use the Services.

Definitions

  • “Services” means the Epepea website, marketplace pages, portals, mobile experiences, APIs, and related services.
  • “Customer” means a user placing orders through the marketplace.
  • “Retailer” means a merchant listing and selling products through the marketplace.
  • “Supplier” means an entity publishing products/offers for retailer adoption and commerce enablement.
  • “Shopper/Agent” means a user who may pick items or support fulfillment where enabled.
  • “Delivery Partner” means a user or entity delivering orders where enabled.
  • “Content” includes listings, images, product information, reviews, and all materials uploaded or displayed on the Services.

Eligibility and accounts

You must have legal capacity to enter into a binding agreement to use the Services. You are responsible for ensuring that your use complies with applicable laws.

  • Provide accurate information and keep it up to date.
  • Maintain confidentiality of credentials and restrict access to your account.
  • Notify us promptly through the support ticket system if you suspect unauthorized access.

Account restrictions

  • We may restrict, suspend, or terminate access to protect users, prevent fraud, or enforce these Terms and marketplace policies.
  • We may request additional verification in high-risk cases (for example, chargeback risk or unusual activity).

Marketplace listings and availability

Retailers and suppliers control listing information such as availability, packaging, brands, and pricing (subject to marketplace rules).

  • Availability can change quickly; items may become unavailable before fulfillment.
  • Product images are illustrative; actual packaging may vary.
  • We may remove or restrict listings that violate platform rules or applicable law.

Orders, substitutions, and cancellations

When you place an order, you are making an offer to buy the selected items under the retailer’s fulfillment terms and applicable policies.

  • Substitutions may be offered when items are unavailable, depending on retailer or shopper workflows.
  • Orders may be cancelled if items are out of stock, delivery cannot be completed, payment fails, or fraud risk is detected.
  • You must provide accurate delivery/pickup information to avoid delays and failed deliveries.

Delivery and pickup

  • Delivery coverage and ETAs depend on your location, retailer policy, and operational constraints.
  • Pickup availability depends on retailer settings and store hours.

Pricing, fees, and taxes

Prices and fees shown at checkout may include item prices, delivery fees, service fees, taxes, and other applicable charges.

  • Retailers set item prices and promotions.
  • Delivery fees may be calculated using distance and delivery policy rules.
  • Taxes may apply depending on product type and jurisdiction.

Payments

  • Payments are processed using methods made available on the platform.
  • We may place holds or apply risk checks to protect users and the marketplace.
  • If a payment is reversed or charged back, we may investigate and take enforcement action where appropriate.

Returns, refunds, and disputes

Returns and refunds are governed by the Returns, Refunds & Disputes Policy and may vary by item type and retailer.

  • Disputes may require evidence (photos, receipts, delivery proof, chat logs).
  • Refund timing can depend on payment provider processing times.

User content, feedback, and reviews

  • If you submit content (reviews, ratings, photos, or messages), you grant us a license to use it to operate and improve the Services.
  • You must not submit unlawful, deceptive, or abusive content.

Acceptable use

  • Do not attempt to scrape, reverse engineer, overload, or disrupt the Services.
  • Do not use the Services for fraud, harassment, or prohibited item activity.
  • Do not impersonate others or misrepresent affiliation.

Intellectual property

  • Epepea and its licensors retain all rights in the Services and platform branding.
  • Retailers and suppliers remain responsible for rights to the content they upload and must not infringe third-party rights.

Disclaimers

  • The Services are provided on an “as is” and “as available” basis.
  • We do not guarantee uninterrupted operation, exact delivery timelines, or uninterrupted availability of listings.

Limitation of liability

  • To the maximum extent permitted by law, Epepea is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Total liability for claims relating to an order is limited to amounts paid for that order, unless applicable law requires otherwise.

Termination

  • You may stop using the Services at any time.
  • We may suspend or terminate accounts for policy violations, fraud risk, or misuse.

Changes to these Terms

We may update these Terms from time to time. Changes apply when posted, unless stated otherwise.
